1. Introduction and Acceptance of Terms

Welcome to Elevate Clinicians ("Platform," "Service," "we," "us," or "our"), accessible at app.elevateclinicians.com. The Platform is owned and operated by AskQuala LLC, a Virginia limited liability company, doing business as Elevate Clinicians.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and AskQuala LLC governing your access to and use of the Elevate Clinicians platform, including all content, features, and services offered through the Platform.

By accessing or using the Platform in any manner, including but not limited to visiting, browsing, creating an account, listing a profile, searching the directory, submitting a contact form, or subscribing to any service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Platform.

We reserve the right to modify these Terms at any time. We will notify registered users of material changes via email or through a notice on the Platform. Your continued use of the Platform after such modifications constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

2. Description of the Platform

2.1 Platform Purpose

Elevate Clinicians is an online directory and marketplace that connects licensed clinical supervisors (including but not limited to Licensed Professional Counselors, Licensed Clinical Social Workers, Licensed Marriage and Family Therapists, and Psychologists) with pre-licensed residents, associates, and interns seeking clinical supervision for licensure in the mental health field.

2.2 What the Platform Is

  • A searchable directory where clinical supervisors can create profiles to advertise their supervision services
  • A discovery tool for residents to find and contact potential supervisors
  • A resource hub providing curated information relevant to clinical supervision and licensure
  • A professional network for clinicians at various stages of their careers

2.3 What the Platform Is NOT

  • The Platform is NOT a telehealth or clinical services provider
  • The Platform does NOT provide, facilitate, or deliver clinical supervision sessions
  • The Platform does NOT employ, contract with, or act as an agent for any supervisor listed in the directory
  • The Platform does NOT verify, validate, or guarantee the credentials, qualifications, licensure status, or competence of any listed supervisor beyond the information they self-report
  • The Platform does NOT provide medical, clinical, therapeutic, or professional advice of any kind
  • The Platform does NOT create, manage, or participate in the supervisor-resident relationship
  • The Platform does NOT process, store, or transmit protected health information (PHI) or patient data
  • The Platform does NOT guarantee the availability, quality, or outcome of any supervision arrangement

3. User Categories and Eligibility

3.1 Supervisors

Supervisors are licensed mental health professionals who create paid profiles on the Platform to advertise their clinical supervision services. By creating a Supervisor profile, you represent and warrant that:

  • You hold a current, valid, and unrestricted license to practice in your respective discipline in the state(s) you indicate
  • You hold any required supervisor credentials, certifications, or designations required by your state licensing board to provide clinical supervision
  • You are in good standing with all applicable licensing boards and regulatory bodies
  • All information provided in your profile is accurate, current, and not misleading
  • You will update your profile promptly if any information changes, including but not limited to licensure status, availability, fees, or areas of specialization
  • You are at least 18 years of age and have the legal capacity to enter into these Terms

3.2 Residents and Visitors

Residents, associates, interns, and other visitors may browse the supervisor directory, use the contact forms, sign up for the network, or join the waitlist. No account or payment is required to search the directory or contact supervisors. By using the Platform, you represent that you are at least 18 years of age.

3.3 Administrators

Platform administrators are authorized personnel who manage content, user accounts, and Platform operations through the administrative dashboard. Administrator access is granted solely at the discretion of AskQuala LLC.

4. Account Registration and Security

4.1 Account Creation

Supervisor accounts are created and authenticated through our authentication provider (Supabase). You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4.2 Account Accuracy

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. We reserve the right to suspend or terminate your account if any information provided is inaccurate, not current, or incomplete.

4.3 Account Security

You are solely responsible for safeguarding your password and for restricting access to your account. You accept responsibility for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to maintain the security of your account.

5. Subscription Plans, Payments, and Billing

5.1 Subscription Tiers

Supervisor profiles require a paid subscription. The following plans are available:

  • Monthly Plan: $24.99 per month, billed monthly on a recurring basis
  • Annual Plan: $249.00 per year, billed annually on a recurring basis
  • Lifetime Plan: $325.00, billed as a one-time payment with no recurring charges

Pricing is subject to change. We will provide at least 30 days advance notice of any price increases to existing subscribers. Price changes will take effect at the beginning of your next billing cycle following the notice period.

5.2 Payment Processing

All payments are processed securely through Stripe, a third-party payment processor. By providing payment information, you authorize us and Stripe to charge the applicable fees to your designated payment method. You agree to Stripe's terms of service in connection with your use of their payment processing services. We do not store your full credit card information on our servers.

5.3 Billing Cycle

For Monthly and Annual plans, your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. The renewal charge will be applied to your payment method on file at the then-current rate.

5.4 Refund Policy

  • Monthly Plans: No refunds are provided for partial months. You may cancel at any time, and your profile will remain active until the end of your current billing period.
  • Annual Plans: If you cancel within the first 14 days of your initial subscription or renewal, you may request a prorated refund for the unused portion of your annual term. After 14 days, no refunds will be issued, but your profile will remain active until the end of your annual term.
  • Lifetime Plans: Lifetime plans are non-refundable after 14 days from the date of purchase. Within the first 14 days, a full refund may be requested.

Refund requests must be submitted to info@elevateclinicians.com. We reserve the right to deny refund requests that we determine, in our sole discretion, to be fraudulent or abusive.

5.5 Failed Payments

If a payment fails, we will attempt to process the charge again within 3-5 business days. If payment cannot be collected after multiple attempts, your account may be suspended or your profile may be removed from the public directory until payment is resolved. We will notify you via email of any payment failures.

5.6 Cancellation

You may cancel your subscription at any time through your account dashboard or by contacting us at info@elevateclinicians.com. Upon cancellation:

  • Your profile will remain visible in the directory until the end of your current paid period
  • After the paid period ends, your profile will be removed from the public directory
  • Your account data will be retained for 90 days following expiration, after which it may be permanently deleted
  • You may reactivate your subscription and profile at any time during the 90-day retention period

6. Supervisor Profile Content and Responsibilities

6.1 Profile Information

Supervisors are solely responsible for the accuracy, completeness, and legality of all information included in their profiles, including but not limited to:

  • Name, credentials, and professional designations
  • License type, number, and jurisdiction
  • Supervisor certification or approval status
  • Areas of clinical specialization and competence
  • Supervision modalities offered (individual, group, in-person, remote)
  • Fees and payment terms for supervision services
  • Availability and contact information
  • Professional biography and experience
  • Any photographs or images uploaded

6.2 Accuracy Obligations

Supervisors must ensure that all profile information accurately reflects their current professional status. Specifically, supervisors agree to:

  • Update their profile within 7 days of any material change to their licensure status, credentials, or availability
  • Immediately remove their profile or notify us if their license is suspended, revoked, or subject to disciplinary action
  • Not misrepresent their qualifications, experience, or areas of competence
  • Not include false, misleading, or deceptive information in their profile
  • Comply with all applicable advertising regulations and ethical guidelines established by their licensing board

6.3 No Endorsement

The inclusion of a supervisor's profile in the directory does not constitute an endorsement, recommendation, or guarantee by Elevate Clinicians or AskQuala LLC of that supervisor's qualifications, competence, or fitness to provide clinical supervision. We do not independently verify the information supervisors provide.

7. Resident and Visitor Responsibilities

7.1 Due Diligence

Residents and visitors who use the Platform to find a clinical supervisor are solely responsible for:

  • Independently verifying the credentials, licensure, and qualifications of any supervisor they contact through the Platform
  • Confirming that a supervisor holds the appropriate credentials to provide supervision in their jurisdiction and for their specific licensure pathway
  • Evaluating whether a supervisor is an appropriate fit for their professional development needs
  • Negotiating and agreeing upon terms of the supervision arrangement directly with the supervisor
  • Reporting any concerns about a supervisor's credentials or conduct to the appropriate licensing board

7.2 No Reliance

Information presented on the Platform, including supervisor profiles and resource content, is provided for informational purposes only. You should not rely solely on information found on this Platform when making decisions about your clinical supervision, licensure, or professional development. Always verify information with the appropriate licensing board, regulatory body, or qualified professional.

8. Acceptable Use Policy

8.1 Permitted Uses

The Platform may be used only for lawful purposes consistent with its intended function as a professional directory for clinical supervision. Permitted uses include:

  • Creating and maintaining a supervisor profile (for paid subscribers)
  • Searching the directory to find potential clinical supervisors
  • Contacting supervisors through the Platform's contact mechanisms
  • Accessing resources and information provided on the Platform
  • Signing up for the professional network or waitlist

8.2 Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

  • Providing false, misleading, or fraudulent information in any profile, form, or communication
  • Impersonating another person or entity, or falsely claiming a professional affiliation
  • Using the Platform to solicit, advertise, or promote services unrelated to clinical supervision
  • Scraping, harvesting, or collecting user data or contact information from the Platform through automated means
  • Attempting to gain unauthorized access to the Platform, other user accounts, or our systems
  • Interfering with or disrupting the Platform's infrastructure, servers, or networks
  • Transmitting viruses, malware, or other harmful code
  • Using the Platform for any unlawful purpose or in violation of any applicable law or regulation
  • Harassing, threatening, or abusing other users of the Platform
  • Posting or transmitting content that is defamatory, obscene, discriminatory, or otherwise objectionable
  • Circumventing or attempting to circumvent any security measures or access controls
  • Using the Platform to send unsolicited bulk communications (spam)
  • Reverse engineering, decompiling, or disassembling any aspect of the Platform
  • Creating multiple accounts for the purpose of evading payment, suspension, or termination
  • Using the Platform in any manner that could damage, disable, overburden, or impair our servers or interfere with any other party's use of the Platform

8.3 Enforcement

We reserve the right, but are not obligated, to monitor use of the Platform for violations of these Terms. We may, in our sole discretion, remove content, suspend or terminate accounts, and take any other action we deem appropriate to address violations, with or without notice.

9. Intellectual Property

9.1 Platform Ownership

The Platform, including its design, layout, look, appearance, graphics, text, logos, trademarks, service marks, software code, and all other content and materials provided by Elevate Clinicians (collectively, "Platform Content"), is owned by or licensed to AskQuala LLC and is protected by United States and international copyright, trademark, and other intellectual property laws.

9.2 Limited License to Users

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for its intended purposes. This license does not include the right to:

  • Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any Platform Content
  • Use any data mining, robots, scraping, or similar data gathering or extraction methods
  • Use the Platform or Platform Content for any commercial purpose not expressly permitted by these Terms
  • Frame or mirror any portion of the Platform without our express written consent

9.3 User-Generated Content

Supervisors retain ownership of the content they provide for their profiles ("User Content"). By submitting User Content to the Platform, you grant AskQuala LLC a non-exclusive, worldwide, royalty-free, sublicensable, transferable license to use, display, reproduce, distribute, and publish your User Content solely in connection with operating and promoting the Platform. This license continues for as long as your content remains on the Platform and for a reasonable period thereafter to accommodate technical removal.

You represent and warrant that you own or have the necessary rights to all User Content you submit, and that such content does not infringe upon the intellectual property rights or other rights of any third party.

9.4 Feedback

Any feedback, suggestions, ideas, or other information you provide regarding the Platform ("Feedback") is non-confidential, and we are free to use such Feedback without restriction or compensation to you.

10. Disclaimers

10.1 No Clinical or Professional Advice

THE PLATFORM DOES NOT PROVIDE MEDICAL, CLINICAL, THERAPEUTIC, OR PROFESSIONAL ADVICE. NOTHING ON THE PLATFORM SHOULD BE CONSTRUED AS PROFESSIONAL GUIDANCE REGARDING CLINICAL SUPERVISION, LICENSURE REQUIREMENTS, THERAPEUTIC TECHNIQUES, OR CLINICAL PRACTICE. THE PLATFORM IS A DIRECTORY SERVICE ONLY.

10.2 No Verification of Credentials

ELEVATE CLINICIANS DOES NOT INDEPENDENTLY VERIFY THE LICENSURE STATUS, CREDENTIALS, QUALIFICATIONS, PROFESSIONAL STANDING, OR COMPETENCE OF ANY SUPERVISOR LISTED ON THE PLATFORM. SUPERVISORS SELF-REPORT THEIR INFORMATION, AND WE MAKE NO REPRESENTATIONS OR WARRANTIES AS TO THE ACCURACY OR COMPLETENESS OF SUCH INFORMATION. USERS MUST INDEPENDENTLY VERIFY ALL CREDENTIALS THROUGH THE APPROPRIATE STATE LICENSING BOARD.

10.3 No Guarantee of Results

WE DO NOT GUARANTEE THAT USE OF THE PLATFORM WILL RESULT IN FINDING A SUITABLE SUPERVISOR, OBTAINING SUPERVISION, COMPLETING LICENSURE REQUIREMENTS, OR ANY OTHER SPECIFIC OUTCOME. FOR SUPERVISORS, WE DO NOT GUARANTEE ANY SPECIFIC NUMBER OF INQUIRIES, CONTACTS, OR CLIENTS.

10.4 Platform Provided "As Is"

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10.5 Third-Party Content and Links

The Platform may contain links to third-party websites, resources, or services. We do not endorse, control, or assume responsibility for the content, privacy policies, or practices of any third-party websites or services. Your interaction with third-party websites is governed by those sites' own terms and policies.

10.6 Supervisor-Resident Relationships

ANY RELATIONSHIP FORMED BETWEEN A SUPERVISOR AND A RESIDENT AS A RESULT OF CONTACT MADE THROUGH THIS PLATFORM IS FORMED INDEPENDENTLY AND SOLELY BETWEEN THOSE PARTIES. ELEVATE CLINICIANS IS NOT A PARTY TO, AND BEARS NO RESPONSIBILITY FOR, ANY SUPERVISION AGREEMENT, ARRANGEMENT, OR RELATIONSHIP. WE ARE NOT RESPONSIBLE FOR THE CONDUCT, QUALIFICATIONS, PERFORMANCE, OR ACTIONS OF ANY SUPERVISOR OR RESIDENT.

11. Limitation of Liability

11.1 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ASKQUALA LLC, ELEVATE CLINICIANS, OR THEIR OWNERS, OPERATORS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, OR AFFILIATES (COLLECTIVELY, THE "ELEVATE PARTIES") BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR:

  • Loss of profits, revenue, goodwill, or data
  • Personal or professional injury, including harm to professional reputation
  • Failure to meet any licensure requirements or deadlines
  • Any actions, conduct, or negligence of supervisors or residents
  • Inadequate, unethical, or incompetent clinical supervision
  • Inaccurate or misleading profile information provided by supervisors
  • Licensing board actions, complaints, or disciplinary proceedings
  • Interruption or cessation of the Platform
  • Unauthorized access to or alteration of your account or data
  • Any other matter relating to the Platform

THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED, INCLUDING BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER BASIS, AND EVEN IF THE ELEVATE PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE ELEVATE PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

11.3 Essential Basis of the Bargain

YOU ACKNOWLEDGE AND AGREE THAT THE DISCLAIMERS AND LIMITATIONS OF LIABILITY SET FORTH IN THESE TERMS REFLECT A REASONABLE AND FAIR ALLOCATION OF RISK, AND THAT THESE LIMITATIONS ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND ASKQUALA LLC. ASKQUALA LLC WOULD NOT BE ABLE TO PROVIDE THE PLATFORM TO YOU ON AN ECONOMICALLY REASONABLE BASIS WITHOUT THESE LIMITATIONS.

11.4 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above exclusions or limitations may not apply, and you may have additional rights. In such cases, our liability will be limited to the fullest extent permitted by applicable law.

12. Indemnification

You agree to indemnify, defend, and hold harmless the Elevate Parties from and against any and all claims, actions, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

  • Your use of or access to the Platform
  • Your violation of these Terms
  • Your violation of any applicable law, regulation, or third-party right
  • Any User Content you submit to the Platform
  • Any inaccurate, misleading, or false information you provide through the Platform
  • Any supervision relationship or arrangement entered into as a result of contact made through the Platform
  • Any claim by a third party (including a resident, patient, or licensing board) relating to supervision services you provided or received
  • Your negligence, misconduct, or violation of professional ethical standards
  • Any dispute between you and another user of the Platform

This indemnification obligation will survive the termination of these Terms and your use of the Platform. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

13. Account Termination and Suspension

13.1 Termination by You

You may terminate your account at any time by canceling your subscription through your account dashboard or by contacting us at info@elevateclinicians.com. Termination does not entitle you to a refund except as expressly stated in Section 5.4.

13.2 Termination by Us

We reserve the right to suspend, disable, or terminate your account and access to the Platform at any time, with or without cause, and with or without notice, including but not limited to situations where:

  • You violate these Terms or any applicable law or regulation
  • Your profile contains materially inaccurate, misleading, or fraudulent information
  • Your license has been suspended, revoked, or is subject to disciplinary action
  • You engage in conduct that is harmful to other users, the Platform, or third parties
  • Your account has been inactive for more than 12 months
  • We are required to do so by law or legal process
  • We discontinue or materially modify the Platform
  • Continued provision of the Platform to you is no longer commercially viable

13.3 Effect of Termination

Upon termination of your account:

  • Your right to access and use the Platform will immediately cease
  • Your profile will be removed from the public directory
  • We may delete your account data after a 90-day retention period, unless retention is required by law
  • All provisions of these Terms that by their nature should survive termination will survive, including Sections 9 (Intellectual Property), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), 14 (Dispute Resolution), and 15 (General Provisions)

14. Dispute Resolution

14.1 Governing Law

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law principles.

14.2 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at info@elevateclinicians.com and attempt to resolve the dispute informally. We will attempt to resolve the dispute by contacting you via email. If the dispute is not resolved within 30 days of your initial contact, either party may proceed with the formal dispute resolution process described below.

14.3 Binding Arbitration

If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted in Richmond, Virginia, before a single arbitrator. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

14.4 Class Action Waiver

YOU AND ASKQUALA LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.

14.5 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidentiality obligations. Additionally, claims within the jurisdiction of a small claims court may be filed in such court.

14.6 Venue

For any matters not subject to arbitration, you agree that any judicial proceedings will be brought in the state or federal courts located in Richmond, Virginia, and you consent to the personal jurisdiction and venue of such courts.

15. General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy and any other agreements or policies referenced herein, constitute the entire agreement between you and AskQuala LLC with respect to the Platform and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.

15.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.

15.3 Waiver

No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your rights or obligations hereunder without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets. Any purported assignment in violation of this section shall be void.

15.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, pandemics, internet or telecommunications failures, or cyberattacks.

15.6 Notices

We may provide notices to you via email to the address associated with your account, by posting on the Platform, or by any other reasonable means. You may provide notices to us at: info@elevateclinicians.com.

15.7 No Third-Party Beneficiaries

These Terms are for the benefit of you and AskQuala LLC only. No third party has the right to enforce any provision of these Terms.

15.8 Relationship of the Parties
